| Effective at the opening on July 6, 1998, MFC Bancorp Ltd.
8% Convertible Subordinate Bonds commenced trading on the Vancouver Stock Exchange. The
company is classified as an "Exempt" company and trades under the symbol
"MFC.DB.U". MFC Bancorp Ltd. is involved in the financial services
business specializing in private and investment banking internationally. It also conducts
proprietary investing/merchant banking activities for its own account.
The Bonds will clear and settle through CDS and DTC and trade in a board lot size of
$1,000 face value.
The capitalization is 8% convertible Subordinated Bonds of which US$15,176,160 are
issued and outstanding and Montreal Trust Company is the transfer agent (appointed
co-transfer agent in Montreal and Vancouver).

1998 governing the bonds.
