Effective at the opening on January 14,
1999, Diamond Fields International Ltd. commenced trading on the Vancouver Stock Exchange.
The company is classified as an "Advanced" company and trades under the
symbol "DFI".
Under the corporate jurisdiction of the Yukon Territory of Canada,
Diamond Fields International Ltd. is engaged in the acquisition, exploration and
development of diamond properties. The company is focussing on sea mining activities in
southern Africa. The company is a successor to Diamond Fields Resources Inc
(VSE-"DFR" delisted in March, 1995 at the request of the company) and was
created to continue the operation of Diamond Fields diamond properties and assets
following the acquisition of DFR by Inco Limited in 1996.
The companys Prospectus qualifies for distribution as follows:
upon conversion of 9,999,999 Special Warrants and exercise of 220,000 Special Options, the
holders will receive 10,219,999 common shares and 10,219,999 common share purchase
warrants. The offering is a special warrant conversion and all the units are being issued
to the private placees of the special warrants. Upon conversion of the special warrants
and exercise of the special options there will be 41,179,949 common shares issued and
outstanding. The private placement price is US $0.30 per special warrant and US $0.40 per
common share until August 19, 1999 and US$ 0.60 per common share until August 19, 2000.
First Marathon Securities is the Sponsoring Member and Montreal Trust Company of Canada is
the transfer agent for the company.
