1999, Nevada Pacific Gold Ltd. commenced trading on the Vancouver Stock Exchange. The
company is classified as a "Venture" company and trades under the symbol
"NPG".
Nevada Pacific Gold Ltd. was incorporated pursuant to the laws of the
Province of British Columbia on March 11, 1997. The company is engaged in the business of
exploring for minerals, primarily gold and silver, and acquiring, exploring and developing
mineral properties in the western United States, primarily in Nevada.
The company's capitalization is 100,000,000 common shares with no par
value of which 9,985,001 common shares are currently issued and outstanding, including
750,000 common shares held in escrow. Nevada Pacific Gold Ltd. has completed its initial
distribution of shares to the public for total gross proceeds of $2,085,000 (3,200,000
units at $0.65 per unit). Each whole warrant entitles the holder to purchase one share at
a price of $0.80 per share up to the close of business, March 22, 2000. There are
3,200,000 non-transferable half warrants issued and outstanding. Montreal Trust Company is
the transfer agent and Canaccord Capital Corp. is the sponsoring Member.
The company has issued to its agent a total of 300,000 non-transferable
share purchase warrants. One warrant to purchase one share at $0.80 per share up to March
22, 2000.
