introduces policy changes to provide relief for public venture issuers and investors

issuers and investors are receiving some relief from slumping market conditions with three
policy changes introduced by the Canadian Venture Exchange (CDNX) this week. Changes have
been made to the Short Form Offering document, Private Placements and Capital Pool Company
(CPC) program.
Companies wishing to make a public offering of free-trading
securities in Alberta or BC, under specified conditions, can use a Short Form Offering
document in place of a longer, more costly prospectus. The Short Form has been available
to CDNX issuers in BC and, effective immediately, is now available in Alberta. The maximum
financing limits under the Short Form have been increased from the former $1million under
the BC program to $2million.
CDNX issuers can now carry out a Private Placement at a
minimum price of $0.05 per share, under specified conditions, which is a decrease from the
previous minimum of $0.10 per share. This change can also benefit investors. Under old
rules, issuers can trade Private Placement shares at a maximum 25 per cent discount, to
the applicable market, to a minimum of $0.10 per share. This change is an interim measure
that will be in effect until December 31, 2002.
CPCs listed on CDNX also have new options available, also
on an interim basis, to assist with the completion of their Qualifying Transaction.
Effective Nov. 1, CPCs can combine with one or more CPCs to complete a proposed,
identified Qualifying Transaction. Alternatively, a CPC may combine with an existing
public company to complete its Qualifying Transaction.
"During these difficult times, we hope these changes
will create more opportunities for companies to raise capital through the public venture
market," says Gerry Romanzin, Executive Vice-President, CDNX Corporate Finance.
"We also recognize that market conditions have been difficult for investors and these
changes are intended to provide issuers with greater financing opportunities."
